Article 1: Purpose

These General Terms and Conditions of Sale (GTCS) govern the contractual relationship between South Medical Consulting and its customers in relation to the creation and design of healthcare training courses for organisations approved by the Agence Nationale du Développement Professionnel Continu (ANDPC).
They apply to all services provided, unless expressly agreed otherwise in writing between the parties.

Article 2: Services offered

South Medical Consulting offers the following services

1. Creation of professional health training courses that comply with the requirements and criteria defined by the ANDPC.
2. Adaptation of training courses to the specific needs of ANDPC-accredited organisations, including the teaching materials, reference frameworks and supporting documents required.
3. Support for organisations in submitting and validating applications to the ANDPC.

The details of the services (content, duration, educational objectives, deliverables) are set out in the quotations or specific contracts signed between the parties.

Article 3: Orders

1. Formalisation: All orders are validated after receipt :
- A signed quotation or contract between South Medical Consulting and the customer,
- Payment of any deposit mentioned in the quotation.
2. Order modification: Any request to modify the services after the order has been validated must be the subject of a written agreement between the parties. Price adjustments will be specified in an amendment to the initial contract or quotation.

Article 4: Prices and payment terms

1. Prices :
Prices are expressed in quotations between the two parties.
Additional costs linked to specific requests (addition of content, reduced deadlines, etc.) will be invoiced separately.
2. Payment :
-. A deposit will be requested when the contract is drawn up, based on the quote.
- The balance must be paid within 30 days of receipt of the invoice, unless otherwise specified in the quotation.
3. Late payment penalties :
In the event of late payment, penalties equal to 10 % of the total amount due will be applied, as well as a fixed indemnity of €40 for collection costs, in accordance with article L441-10 of the French Commercial Code.

Article 5: Deadlines and deliverables

1. Deadlines :
The deadlines for the provision of services are agreed in the quotation or contract. In the event of delays attributable to the customer (missing documents, late approvals, etc.), South Medical Consulting reserves the right to postpone the corresponding deadlines.
2. Deliverables :
The deliverables include the teaching materials, compliance documents and reference documents required for filing with the ANDPC. They are delivered in the agreed format (digital or paper).

Article 6: Cancellation and termination

1. Cancellation by the customer :
If the customer cancels the order, the following charges will apply:
- Before the start of the service: 30 % of the total amount will be due as compensation.
- After the start of the service: 100 % of the total amount will be due.
2. Termination by South Medical Consulting :
In the event of non-compliance with contractual obligations by the customer (late payment, lack of cooperation, etc.), South Medical Consulting may terminate the contract by operation of law after formal notice has remained without effect for a period of 15 days.

Article 7: Intellectual property

1. Creations and media :
All teaching materials, content and tools created by South Medical Consulting remain the intellectual property of the company, unless otherwise stipulated in the contract.
2. Licence to use :
The customer has the right to use the deliverables in the context of its activities with the ANDPC. Any unauthorised reproduction, modification or distribution is strictly prohibited.

Article 8: Liability

1. Responsibility of South Medical Consulting :
South Medical Consulting's liability is limited to the value of the services invoiced. The company undertakes to provide services that comply with the standards and requirements of the ANDPC, but does not guarantee the systematic acceptance of files submitted to this body.
2. Customer responsibility :
The customer is obliged to provide all the information and documents required for the proper performance of the services. They are also responsible for using the training and deliverables in their own business.

Article 9: Personal data

In accordance with the RGPD, South Medical Consulting undertakes to process customers' personal data solely for administrative and commercial management purposes. Customers have the right to access, rectify and delete their data, which they may exercise by contacting contact@southmedicalconsulting.com.

Article 10: Confidentiality

The parties undertake to respect the confidentiality of information exchanged in the context of their contractual relationship. This obligation continues for a period of 5 years after the end of the service.

Article 11: Disputes and applicable law

These GCS are governed by French law. In the event of a dispute, and after an attempt at amicable settlement has failed, the competent courts in Marseille shall have sole jurisdiction.

Article 12: Acceptance of the GCS

Validation of a quotation or signature of a contract implies full acceptance of these General Terms and Conditions of Sale by the customer.
